These Terms & Conditions govern the retail sale of products through the loveandcarry.com online store.

A person placing an order on the Website is hereinafter referred to as the “Customer”.

These Terms & Conditions constitute a public offer in accordance with the laws of Ukraine. By placing an order on the Website, the Customer accepts these Terms & Conditions.

1. General Provisions

1.1. These Terms & Conditions govern the relationship between the Seller and the Customer regarding the purchase of products through loveandcarry.com.

1.2. Before placing an order, the Customer has the opportunity to review these Terms & Conditions, product characteristics, prices, payment and delivery terms, return conditions and warranty information.

1.3. By clicking the button to place an order after reviewing these Terms & Conditions, the Customer accepts the public offer and enters into an electronic contract with the Seller.

1.4. The Customer’s personal data is processed by the Seller in accordance with applicable law and the Privacy Policy published on the Website.

2. Products

2.1. The Seller undertakes to provide the Customer with the ordered Product, and the Customer undertakes to accept and pay for it in accordance with these Terms & Conditions.

2.2. The main characteristics, contents, price and other information about a Product are provided on the relevant product page on the Website.

2.3. The Seller makes reasonable efforts to ensure the accuracy of product descriptions, photographs and other information.

However, actual colours may vary slightly depending on the display settings of the Customer’s device.

2.4. Product availability information on the Website may be updated with a delay. If a Product becomes unavailable after an order has been placed, the Seller will inform the Customer and offer a replacement, the option to wait until the Product is back in stock, or cancellation of the relevant item or the entire order.

2.5. If a cancelled Product has already been paid for, the corresponding amount will be refunded using the original payment method or another method agreed with the Customer.

3. Placing an Order and Conclusion of the Contract

3.1. The Customer places an order independently through the Website and provides the information necessary to fulfil the order.

3.2. The Customer is responsible for the accuracy of the contact information, delivery address and other details provided when placing the order.

3.3. After placing an order, the Customer receives confirmation by email or another available method.

3.4. The Seller may contact the Customer to clarify information necessary to fulfil the order.

3.5. The contract remains in force until both Parties have fully performed their obligations, including obligations relating to payment, delivery, refunds, warranty and the handling of properly submitted Customer claims.

4. Prices and Payment

4.1. The current price of each Product is displayed on the Website.

4.2. The Seller may change Product prices. A price change after an order has been placed and confirmed does not affect the price of a Product already ordered, except in the case of an obvious technical error.

4.3. The final order price, including any delivery charges and other applicable fees known at the time of ordering, is displayed during checkout or communicated to the Customer before payment.

4.4. Available payment methods are displayed during checkout and may include:

• payment by bank card through the monobank payment provider;
• payment to the Seller’s bank account using the provided bank details;
• cash on delivery at a Nova Poshta branch;
• PayPal;
• other payment methods available for the relevant country or order.

4.5. International orders may be subject to import duties, taxes, customs charges or other fees in the country of delivery. Unless expressly stated otherwise during checkout, such charges are payable by the Customer in accordance with the laws of the country of delivery.

5. Delivery

5.1. Delivery methods, estimated delivery times, geographical availability and delivery costs are specified on the Delivery & Payment page and/or during checkout.

5.2. Delivery times depend on the destination country, selected carrier, delivery method and other circumstances.

5.3. The Seller hands the Product over to the carrier within the period communicated to the Customer or specified on the Website.

5.4. The Seller is not liable for delays caused by the carrier, customs authorities, transportation restrictions, force majeure events or other circumstances beyond the Seller’s reasonable control, except where the Seller’s liability is expressly provided for by law.

5.5. If the Customer provides an incorrect address, fails to collect the shipment or refuses it without valid reason, the Customer may be required to reimburse the actual costs of delivery and return of the Product, to the extent permitted by applicable law.

6. Returns, Refunds and Warranty

6.1. The Customer has the right to return or exchange a Product of satisfactory quality in the cases, within the periods and under the conditions provided by applicable law.

6.2. The Customer may not return a Product if such Product is excluded from return or exchange under applicable law, except where the Product is defective or otherwise provided by law.

6.3. If a Product is defective or non-conforming, the Customer has the rights provided by applicable law and the Seller’s warranty terms.

6.4. Any commercial warranty provided by the Seller or manufacturer does not limit the Customer’s statutory rights.

6.5. Detailed information regarding returns, exchanges, refunds and warranty service is provided on the Returns & Warranty page, which forms an integral part of the terms of sale.

7. Liability

7.1. The Seller is responsible for performing its obligations in accordance with these Terms & Conditions and applicable law.

7.2. The Seller is not liable for minor differences in Product colour caused by screen settings or differences in colour reproduction between devices.

7.3. The Seller is not responsible for an inability or delay in fulfilling an order where this is caused by incorrect or incomplete information provided by the Customer.

7.4. Nothing in these Terms & Conditions limits any rights of the Customer that cannot be limited or excluded under applicable law.

8. Force Majeure

8.1. A Party shall not be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.

8.2. Such circumstances may include, in particular, war and hostilities, emergencies, natural disasters, fires, disruptions to transport or energy infrastructure, decisions of public authorities and other force majeure events.

8.3. The affected Party shall take reasonable measures to minimise the consequences of such circumstances.

9. Governing Law and Dispute Resolution

9.1. These Terms & Conditions are governed by the laws of Ukraine.

9.2. The Parties will seek to resolve disputes and disagreements through negotiation.

9.3. If a dispute cannot be resolved through negotiation, it shall be resolved in accordance with applicable law.

9.4. If the Customer is a consumer residing outside Ukraine, these Terms & Conditions do not deprive the Customer of any mandatory consumer rights that cannot be excluded under the laws of the Customer’s country of residence, where such laws apply to the relevant purchase.

10. Final Provisions and Contact Information

10.1. The Seller may update these Terms & Conditions from time to time. The version in force at the time an order is placed applies to that order.

10.2. If any provision of these Terms & Conditions is found to be invalid or unenforceable, this shall not affect the validity or enforceability of the remaining provisions.
